These Terms of Service ("Terms") govern your use of websites and services provided by Watskud (Pty) Ltd ("Watskud", "we", "us", "our"). By accessing our website at watskud.com or engaging our services, you agree to be bound by these Terms.

1. Services

We provide custom software development, AI solutions, and automation services. Specific scope, deliverables, and pricing are agreed in separate statements of work or proposals.

2. Confidentiality

Each party will keep confidential information received from the other party in confidence and use it only for the purposes of performing under the engagement.

3. Intellectual Property

Unless otherwise agreed in writing, upon full payment, clients receive rights to use deliverables for their business. We retain the right to reuse general know‑how, non‑confidential templates, and internal utilities.

4. Payment

Invoices are due as stated on the invoice. Late payments may incur reasonable interest or suspension of services.

5. Warranties and Disclaimer

Services are provided on an "as is" basis. To the fullest extent permitted by law, we disclaim implied warranties and do not guarantee error‑free or uninterrupted operation.

6. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Direct damages are limited to fees paid for the services giving rise to the claim.

7. Compliance and Acceptable Use

You agree not to use our services to violate laws or infringe third‑party rights. If we operate systems on your behalf, you remain responsible for end‑user terms and notices appropriate for your product.

7.1. WhatsApp and Messaging Services

When we provide WhatsApp integration or messaging services, these are used solely for:

Customer support and service inquiries
Business communication and consultation
Project updates and client communication

We do not use WhatsApp for direct product sales, subscription services, or prohibited goods. All messaging services comply with Meta's WhatsApp Business API policies and applicable telecommunications regulations.

8. Data Protection

Our handling of personal data is described in our Privacy Policy. For client projects, we act as a processor in accordance with written instructions and applicable law.

9. Termination

Either party may terminate for material breach not cured within a reasonable period, or as otherwise agreed in writing.

10. Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of laws principles.
